We reserve the right to limit the quantities of any products or services that we offer. All descriptions of products or product pricing are subject to change at any time without notice, at the sole discretion of us. We reserve the right to discontinue any product at any time. We do not warrant that the quality of any products, Services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected.

SECTION 6 - LICENSE AND PERMITTED USE

Upon purchasing any digital content, templates, spreadsheets, financial models, or services (“Content”) from Projectify, you are granted a non-exclusive, perpetual, royalty-free, non-transferable license to use the Content for personal and professional purposes. This license permits you to download, store, modify, edit, print, and use the Content for internal business analysis, financial planning, investment evaluation, advisory or consulting work, and the preparation of reports, presentations, and pitch materials, provided that the underlying spreadsheet files are not shared or distributed to third parties.

The Content may be used within a single legal entity by up to five (5) individuals, including employees, founders, or contractors. Use by more than five individuals requires the purchase of an additional or extended license. All intellectual property rights in the Content, including copyrights, proprietary structures, formulas, layouts, and methodologies, remain exclusively with Projectify.

You may not sell, resell, sublicense, rent, lease, publish, distribute, make available online, or otherwise provide the Content or any derivative spreadsheet file to any third party, whether free of charge or for consideration. You are not permitted to remove, bypass, or interfere with any technical protection measures, access controls, or security features applied to the Content. Reselling or commercializing the Content, or any derivative thereof, as a standalone product or as part of a competing offering is strictly prohibited.

All Products are provided “as is.” The purchase of any Content does not entitle the user to free future updates, enhancements, or revisions unless expressly stated otherwise in writing by Projectify.

SECTION 7 - REFUNDS AND DIGITAL CONTENT

All Products and Services offered by Projectify are digital in nature and are provided on an “as is” basis. Due to the nature of digital content and immediate access upon purchase, all sales are final and no refunds, returns, or exchanges are offered once access to the Product or Service has been granted or the download has commenced.

By completing a purchase, you expressly consent to the immediate delivery of digital content and acknowledge that you lose your statutory right of withdrawal once access or download begins, in accordance with the EU Consumer Rights Directive (2011/83/EU).

If a Product or Service contains material errors, technical defects, or inaccuracies, you may notify Projectify at hello@useprojectify.com. We will review the issue in good faith and, where appropriate, provide corrections or clarifications at no additional cost. Such corrective actions do not constitute a refund entitlement.

SECTION 8 - ACCURACY OF BILLING AND ACCOUNT INFORMATION

We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.

In any event, Projectify’s total aggregate liability shall be strictly limited to the amount paid by the user for the specific Product or Service giving rise to the claim. SECTION 18 - FORCE MAJEUR AND ASSIGNMENT

Projectify shall not be liable for any failure or delay in the performance of its obligations under these Terms where such failure or delay results from events beyond its reasonable control, including but not limited to acts of God, natural disasters, epidemics or pandemics, illness, labour disputes, war, terrorism, civil unrest, governmental actions, failures of utilities or telecommunications networks, internet outages, hosting or cloud service failures, or the unavailability of third-party service providers.

Projectify may assign, transfer, novate, or otherwise dispose of any or all of its rights and obligations under these Terms, in whole or in part, without restriction and without prior notice to the user, including in connection with a merger, acquisition, corporate reorganization, or sale of assets. Users may not assign or transfer their rights or obligations under these Terms without the prior written consent of Projectify.

SECTION 19 - ENTIRE AGREEMENT

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service and any policies or operating rules posted by us on this site or in respect to The Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).
